# Payment Terms for magicplan PRO Plans
## Subscription Billing, Auto-Renewal, and Usage Guidelines for magicplan PRO Plans
*Please read our magicplan PRO Payment Terms carefully. By subscribing to magicplan’s PRO FLEX, PRO 12, or PRO 24 plans, you agree to recurring billing, automatic renewals, and responsibility for applicable taxes. Subscription payments are non-refundable, and unused project credits roll over monthly as long as your subscription remains active. If you need additional projects, you can upfront purchase projects in increments of one and add them to your project count, or just create an on-demand project as you go. Your plan is a commitment for its full term. You can upgrade at any time, but downgrades are not available during your current term and can only take effect at renewal. After cancellation, projects are view-only, and editing/export features require an active subscription. Please keep billing information current to avoid service interruptions. ### **Pricing Model**
The **minimum purchase volume per month** is **10 projects**. Customers can **increase their monthly project count in increments of 1** at any time. Any increase takes effect immediately and becomes your committed monthly project count for the remainder of your current subscription term. Monthly project counts cannot be reduced during a subscription term.
If a customer does not increase the project count and creates more than the available projects in the workspace, **each additional project will be charged at your local PRO FLEX rate.**

### Plan Commitment and Downgrades
When you subscribe, you commit to the plan, the subscription term (1 month for PRO FLEX, 12 months for PRO 12, 24 months for PRO 24), and monthly project count you selected, including any upgrades you made during the term.You are responsible for all fees for the full subscription term, whether you are billed monthly or upfront.
Downgrades are not permitted during a subscription term. A downgrade includes reducing your monthly project count or switching to a shorter plan (for example, from PRO 24 to PRO 12, or from PRO 12 to PRO FLEX). You may request a downgrade to take effect at the start of your next subscription term by notifying us before your plan's cancellation/renewal deadline. Requests received after the deadline will take effect at the following renewal.
Choosing not to use the service, or using fewer projects than your committed count, does not reduce the fees owed for your subscription term.
#### **Project Roll-Over Policy**
**Unused projects roll over to the next month** as long as the subscription remains **active**.
- Rolled-over projects **can only be used while the subscription is active**.
- If a subscription **expires or is canceled**, unused project credits will be **preserved for 12 months** from the subscription end date but **cannot be used until re-subscribing**.
- Upon **re-subscribing within that 12-month period**, previously unused credits **will roll over** to the new active subscription.
### **Applicable Terms**
The **magicplan Terms of Service and Privacy Policy** apply to all aspects of your subscription, including **data ownership, account security, liability, service modifications, governing law, and dispute resolution**. By subscribing, you agree to adhere to these terms.
#### **Subscription Billing and Auto-Renewal**
Some of our services are billed on a **subscription basis** (referred to as “Subscriptions”). Subscriptions are billed in advance on a **recurring, periodic basis** (the “billing cycle”). Billing cycles are determined by your plan selection and payment option, which may be **monthly (FLEX)** or **annual (PRO 12 & PRO 24)**. Your billing cycle determines only when you are invoiced. It does not shorten or change your subscription term or your commitment.
Each subscription will automatically **renew at the end of each billing cycle** unless canceled.
**Breach Clause (Early Termination Fee):** If you terminate your PRO 12 or PRO 24 plan early, you will be charged a fee equal to **50% of the remaining contractually agreed balance**.
#### **Auto-Renewal and Cancellation**
Your subscription will **renew automatically** unless you **cancel auto-renewal.** If you have issues cancelling, please contact Customer Support at [**support@magicplan.app**](mailto:support@magicplan.app).
- Cancellations will **only take effect at the end of the current billing cycle**.
- Auto-renewal cancellation can be requested **immediately after subscribing** to ensure non-renewal at the next cycle.
#### **Billing Authorization**
By subscribing, you authorize **Technologies magicplan Inc.** 1275 Avenue des Canadiens-de-Montréal, 5th Floor, Montréal, QC H3B 0G4, Canada(or its third-party payment processors) to **charge your credit card** in accordance with the selected plan’s payment terms.
#### **Taxes**
Unless explicitly stated on the **quote, receipt, or invoice**, all **applicable taxes** (including VAT, duties, or related penalties) are the **customer’s responsibility**. If Technologies magicplan Inc. is required to collect or pay taxes on your behalf, these charges will be added to your invoice.
#### **Service Suspension for Non-Payment**
If payment is not received on time, Technologies magicplan Inc. **reserves the right to suspend access** to services until payment is received.
#### **Price Changes**
Subscription prices may be subject to change at the start of a new billing cycle. Technologies magicplan Inc. will provide **advance notice of any adjustments**, allowing customers to decide whether to continue their subscription.
For **PRO 12 and PRO 24**, prices are **guaranteed for the full term** (12 or 24 months). Any price changes will apply **only upon renewal**.
#### **No Refund Policy**
All subscription payments are **non-refundable**. No refunds will be issued for **unused services, partial terms, or mid-cycle cancellations**.

### **magicplan PRO 12 Subscription**
#### **Subscription Overview**
- 12-month subscription
- Minimum Purchase Volume: 10 projects per month
- Monthly project count can be increased in increments of 1
- Additional projects (if allocation is exceeded): Charged individually at the local PRO Flex price
#### **Annual Upfront Allocation Option**
If you choose to **pay upfront for 12 months**, you will receive the **entire annual allocation of 120 projects** (10 projects x 12 months) **at the beginning of the term**.
#### **Billing, Auto-Renewal & Cancellation**
- **Auto-renews** every 12 months unless canceled **at least 30 days in advance**.
- **Breach Clause (Early Termination Fee):** If you terminate your PRO 12 or PRO 24 plan early, you will be charged a fee equal to **50% of the remaining contractually agreed balance**.
### **magicplan PRO 24 Subscription**
#### **Subscription Overview**
- 24-month subscription
- Minimum Purchase Volume: 10 projects per month
- Monthly project count can be increased in increments of 1
- Additional projects (if allocation is exceeded): Charged individually at the local PRO Flex price
#### **Upfront Allocation Option**
If you **pay for 24 months upfront**, you will be billed upfront per annual year and receive **the annual allocation of 240 projects** (10 projects x 24 months) at the **beginning of each 12 month term**.
#### **Billing, Auto-Renewal & Cancellation**
- **Auto-renews** every 24 months unless canceled **at least 60 days in advance**.
- **Breach Clause (Early Termination Fee):** If you terminate your PRO 12 or PRO 24 plan early, you will be charged a fee equal to **50% of the remaining contractually agreed balance**.
### **magicplan PRO FLEX Subscription**
#### **Subscription Overview**
- Month-to-month subscription
- Minimum Purchase Volume: 10 projects per month
- Monthly project count can be increased in increments of 1
- Additional projects (if allocation is exceeded): charged individually at the PRO Flex price
#### **Billing, Auto-Renewal & Cancellation**
**Auto-renews monthly** unless canceled **at least 7 days before renewal**.
#### **Project Modification Restrictions**
Customers **cannot modify key project details** (such as address, claim number, or project ID) to **circumvent project limits or subscription terms**. Any misuse of project data for the purpose of **bypassing subscription constraints** is strictly prohibited.
#### **Final Notes**
- **Unlimited collaborators** can be added to a workspace.
- **No additional storage fees** apply.
By subscribing, you acknowledge that you have read and agree to these **payment terms**.
